Terms of Service

Universal Panorama Marketing specialises in chatbot and automation solutions designed to improve business efficiency and communication. Our services include but are not limited to:

• Custom chatbot development;

• Automation workflow design;

• Integration with third-party tools;

• Competitor analysis, paid ads help and leads help

Specific details about each service will be outlined in separate agreements or service-level commitments where applicable.

When using our services, you agree to:

• Provide accurate, complete, and up-to-date information;

• Use our services only for lawful purposes;

• Not interfere with the operation of our services, including attempting to breach any security measures;

• Maintain the confidentiality of any account credentials issued to you.

The fees for our services will be outlined in separate agreements or invoices. Unless otherwise specified:

• Payments are due within 30 days of receipt of the invoice;

• Late payments may incur interest at a rate of 1.5% per month or the maximum rate allowed by law;

• Fees are non-refundable unless explicitly stated otherwise.

You are responsible for any taxes or duties applicable to the services, excluding taxes on our income.

All intellectual property rights in our Website, services, and deliverables, this is limited to software, documentation, and designs from WIX, Airtable and Voiceflow, are owned by Universal Panorama.

• License to Use: You are granted a limited, non-exclusive, non-transferable license to use the deliverables solely for your internal business purposes.

• Restrictions: You may not reverse engineer, distribute, or create derivative works based on our services without our explicit written permission.

Both parties agree to keep all non-public information disclosed during the course of their relationship confidential. Confidential information includes but is not limited to business plans, customer data, and proprietary methodologies.

This confidentiality obligation does not apply to information that:

• Is publicly available through no fault of the receiving party;

• Was independently developed without reference to the disclosing party’s information;

• Must be disclosed by law or court order (with prior notice to the disclosing party).

Our services are provided "as is" and "as available" without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that:

• The services will meet your specific requirements;

• The services will be uninterrupted, secure, or error-free;

• Any defects will be corrected.

To the maximum extent permitted by law, Universal Panorama shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use of our services, even if we have been advised of the possibility of such damages. Our total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.

We reserve the right to terminate or suspend your access to our services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination:

• You must immediately cease using our services;

• Any outstanding fees owed by you shall remain payable;

• Sections 5, 6, 7, and 8 shall survive termination.

Our services may include integrations or links to third-party tools or platforms. We are not responsible for the content, availability, or performance of these third-party services. Your use of such services is subject to their respective terms and policies.

You agree to indemnify, defend, and hold harmless Universal Panorama, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising out of:

• Your use of our services;

• Your violation of these Terms;

• Your infringement of any third-party rights.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Website. It is your responsibility to review these Terms periodically. Continued use of our services constitutes your acceptance of the revised Terms.

Any disputes arising out of or relating to these Terms shall be resolved through:

• Negotiation: The parties will first attempt to resolve the dispute amicably;
